Represented Zions First National Bank and Vectra Bank in debt financing of leveraged recap/LBO transaction of multi-state restaurant franchisee and operator (Sizzlers, Red Robins, etc.) involving bond indentures and subordination agreements and dozens of pieces of real estate and ground leases. Represented Pops Investment Co. in multiple commercial financing acquisitions and property management activities of All-A-Dollar stores in Utah, Arizona, New Mexico and Tennessee. Represented MKH Properties in commercial leasing negotiation and property management activities including lease drafting and negotiation, holdovers, evictions, employment and labor matters, policies and procedures, employee handbook, etc. Represented Purchaser in Acquisition of Utah based Find & Rent, full service real estate company. Represented RUTI, LLC in acquisition of Richfield AutoZone and Aarons Rent-to-Own locations financed through Deed of Trust to Auto-Owners Life Insurance Company. Represented Korea Technology Industry of America in acquisition of mining property in Uintah County (financed through Deed of Trust to Western Energy Partners, a Sorenson Capital affiliate). Represented JD Clark & Co (hedge fund operations, funds of hedge funds and private equity funds) in Sale to UMB Bank (approx. $50MM); JD Clark & Co manages all components of accounting, tax and regulatory compliance, and client reporting. Represented purchaser in financing acquisition of 800 South Main Street Shopping Center in Richfield, Utah. Represented Burbidge Concrete Company in series of joint venture financing and reorganization transactions collateralized by real estate and concrete pumpers, including negotiation and execution of long-term operating agreement with tiered allocations and distributions tied to revenue and profits targets. Represented Rio Management and Eagle Plaza, L.C., in commercial leasing and property management activities including lease drafting and negotiation, holdovers, evictions, employment and labor matters, etc. Represented in U.S. MRI and Salt Lake MRI is financing transactions secured by Magentic Resonance Imaging (MRI) equipment and by patient choses in action. Prepared UCC filings and negotiated with senior lenders. Represented Dahle Big and Tall affiliate in condominiumization of commercial property and sale via land contract to Play it Again Sports, LLC. Represented Dahle Development in lease negotiations with tenants and litigation to collect past due rent. Represented Rob Dahle and R4J Investments, LLC in the settlement and foreclosure of a long-term commercial lease and the negotiation and new lease with 7-Eleven. Represented M3 Properties, LLC in securing HUD Financing to demolish large dilapidated condominium structure in Sandy City, Utah, and in seeking tax incentives for low-income housing. Represented commercial landlord MKH Properties in negotiation with and litigation against various defaulting tenants. Represented Insite Technology in acquisition by Comtech Mobile Datacom Corporation in a transaction involving vehicle-tracking technology used by US and NATO armed forces. Represented Intermountain Power Agency in a series of hundred million dollar bond refinancings to finance power plant construction and operations. Represented investors in demand for accounting and court ordered liquidation of Terrapin Station Smoking Co. Represented Corporate Connection International (an affiliate of Teleperformance USA) in reorganization of its back-office including formation of an Ohio based Professional Employer Organization (PEO) to handle the employee withholding and labor relations for multiple entities. Represented Christiansen Real Estate Holdings in its acquisition of whole or partial interests in several car wash locations, secured initial financing through SBA loan. Represented the Cottonwood Country Club in the planning, negotiation and financing of a new $8MM clubhouse and pool, with real estate secured financing. Represented Employer Solutions Group (a Utah County based Professional Employer Organization) in sale to public company. Represented Sarcos Research Corporation and its affiliates in sale to Raytheon (Sarcos had developed exosleleton, designed to be worn by soldiers and now produced by the United States Army). Represented purchaser in acquisition of ski apparel manufacturer Dale Boot. Represented English Language Learning System in acquisition by public company (Pearson Education) Represented Horizon Mortgage and Investment, Inc. in its $15.0 million publicly registered 2005 Utah intrastate offering. Represented GSC Foundaries in acquisition by Precision Castparts in February 2007. Represented Ridgeview Capital in recapitalization and restructuring of Burbidge Concrete Company in June 2006. Represented DynEd International in Latin America Joint Venture (with respect to English language learning software) Represented Craftsman Kitchen & Cabinets in sale to Accent Surfaces. Represented Ivory Homes and its affiliates in multiple joint venture transactions including co-investments with Ridgeview Capital; many of these investments were real estate secured financings.
